MDX TECH SOLUTIONS ## CONSULTATION AGREEMENT
Effective upon electronic acceptance
This Consultation Agreement ("Agreement") is entered into between MDX Tech Solutions ("MDX") and the individual or business scheduling the consultation ("Client").
By checking the acceptance box and submitting payment for a consultation, Client acknowledges that Client has read, understood, and agrees to this Agreement.
1. Purpose of the Consultation
MDX provides remote and digital technology consulting services. The consultation may include discussion, evaluation, recommendations, or guidance concerning websites, AI and workflow automation, remote technical support, business technology systems, digital tools, software, integrations, technology strategy, and other remote technology services offered by MDX.
Unless separately agreed to in writing, the consultation does not include implementation, development, configuration, ongoing support, project execution, or delivery of a finished product.
2. Remote Services Only
MDX Tech Solutions provides digital and remote technology services.
Unless MDX expressly agrees otherwise in a separate written agreement, the consultation does not include onsite technology services, physical hardware installation, structured cabling, physical network infrastructure installation, electrical work, or other physical installation services.
3. No Obligation to Purchase Additional Services
Scheduling or completing a consultation does not require Client to purchase additional services from MDX.
Likewise, MDX is not obligated to accept a proposed project following a consultation.
Any services performed after the consultation may require a separate proposal, statement of work, service agreement, project agreement, or other written authorization.
4. $30 Consultation Fee — Non-Refundable
Client understands and agrees that MDX charges a $30.00 consultation fee to schedule a consultation.
The $30.00 consultation fee is non-refundable once payment is submitted, except if MDX cancels the consultation and does not provide the Client with a reasonable opportunity to reschedule.
The consultation fee compensates MDX for reserving consultation time and providing an initial assessment of the Client's technology needs.
Payment of the consultation fee does not purchase any additional MDX services, project work, development, implementation, technical support, software, products, or deliverables beyond the scheduled consultation.
The $30.00 consultation fee will not automatically be applied as a credit toward future MDX services unless MDX expressly agrees to provide such a credit in writing.
By checking the required acceptance box and submitting payment, Client expressly acknowledges and agrees that:
(a) the consultation costs $30.00;
(b) the $30.00 consultation fee is non-refundable subject to the MDX cancellation exception stated above; and
(c) Client authorizes the applicable payment processor to charge the payment method provided for the $30.00 consultation fee.
5. Scheduling, Rescheduling, Cancellation, and No-Shows
Client agrees to attend the consultation at the scheduled time.
Client may request to reschedule a consultation by contacting MDX at least 24 hours before the scheduled appointment. Rescheduling is subject to availability.
Cancellation by Client does not entitle Client to a refund of the $30.00 consultation fee.
Failure to attend a scheduled consultation without notice does not entitle Client to a refund.
If MDX cancels the consultation, MDX will provide Client with a reasonable opportunity to reschedule. If MDX cannot provide the consultation or an acceptable rescheduled appointment, MDX may refund the $30.00 consultation fee.
6. Client Responsibilities
Client agrees to provide information that is reasonably accurate and complete so that MDX can properly understand Client's technology needs.
Client is responsible for decisions made based on information or recommendations discussed during the consultation.
Client must not provide MDX with passwords, authentication codes, private keys, payment card information, or other highly sensitive credentials during an initial consultation unless MDX specifically requests such information through an approved secure process.
7. Recommendations and No Guarantee of Results
Technology recommendations depend on factors including Client's existing systems, third-party software, hosting providers, vendors, business requirements, budgets, and technical limitations.
MDX will make reasonable efforts to provide useful and accurate information based on information available during the consultation. MDX does not guarantee any particular business, financial, technical, marketing, security, or operational result.
8. Third-Party Products and Services
MDX may discuss or recommend third-party products, platforms, hosting providers, software, artificial intelligence services, applications, integrations, or vendors.
Such third parties are independent from MDX unless expressly stated otherwise. Client is responsible for reviewing and accepting applicable third-party terms.
9. Confidential Information
Each party agrees to use reasonable care to protect confidential, non-public business or technical information disclosed by the other party during the consultation.
This provision does not replace a separate nondisclosure agreement when one is appropriate.
10. Intellectual Property
Each party retains ownership of intellectual property, processes, materials, software, content, documentation, trademarks, business information, and other property it owned before the consultation.
General concepts, recommendations, observations, or ideas discussed during a consultation do not constitute a transfer of intellectual property ownership.
11. No Legal, Accounting, or Financial Advice
MDX provides technology-related consulting services.
Unless specifically stated otherwise by a properly qualified professional, information provided by MDX should not be interpreted as legal, accounting, tax, investment, financial, regulatory, or insurance advice.
12. Limitation of Consultation Scope
The consultation represents an initial assessment based on information reasonably available during the scheduled session.
It is not a comprehensive security audit, accessibility audit, compliance audit, penetration test, engineering assessment, legal compliance review, or other formal professional examination unless separately contracted.
13. Limitation of Liability
To the fullest extent permitted by applicable law, MDX will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising solely from the consultation or Client's decision to use or not use recommendations discussed during the consultation.
To the fullest extent permitted by law, MDX's aggregate liability arising directly from a paid consultation will not exceed the amount Client paid MDX for that consultation.
Nothing in this Agreement limits liability where such limitation is prohibited by law.
14. Recording of Consultations
Neither party may record audio or video of a consultation without informing the other party and obtaining any consent required by applicable law.
15. Electronic Communications
Client agrees that MDX may communicate regarding the consultation by email, telephone, videoconference, booking-system notifications, or other electronic means using the contact information Client provides.
16. Electronic Acceptance
Client agrees to conduct this transaction electronically.
By intentionally selecting the required acceptance checkbox and submitting the consultation booking and payment, Client intends that action to constitute Client's electronic acceptance of this Agreement, including the $30.00 non-refundable consultation fee.
17. Governing Law
This Agreement will be governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise.
18. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
19. Entire Agreement for Consultation
This Agreement constitutes the agreement between MDX and Client concerning the consultation itself.
Any subsequent project, recurring service, development engagement, support arrangement, or other paid work may be governed by a separate agreement.
